Agreement to Terms
By accessing and using the website and services provided by AccountsUp ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our website or services. These Terms constitute a legally binding agreement between you and AccountsUp.
We reserve the right to modify these Terms at any time. Continued use of our services after any changes constitutes your acceptance of the revised Terms.
Services Description
AccountsUp provides professional accounting, tax filing, GST compliance, company registration, audit and advisory, and business consulting services to individuals and businesses in India. Our services include but are not limited to:
- Income Tax Return (ITR) filing for individuals and businesses.
- GST registration, monthly/quarterly return filing, and compliance support.
- Private Limited Company, LLP, OPC, and partnership firm registration.
- Bookkeeping, accounting, and financial statement preparation.
- Statutory audit, internal audit, and tax audit services.
- ROC compliance and annual filing services.
- Business consulting and advisory services.
We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.
User Accounts and Responsibilities
To access certain features of our services, you must create a user account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate and complete.
- Protect the confidentiality of your account credentials (username and password).
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms or are involved in fraudulent or illegal activities.
Fees and Payment
By engaging our services, you agree to pay the applicable fees as communicated at the time of service engagement. Key terms include:
- Service Fees: Fees for our services will be communicated before engagement and are subject to change with prior notice.
- Government Fees: Government fees, stamp duties, and statutory charges are separate and must be borne by you in addition to our professional fees.
- Payment Terms: Payment is due upon invoice unless otherwise agreed in writing. We accept payments via bank transfer, UPI, and other methods as specified.
- Late Payments: Overdue payments may attract interest at the rate of 18% per annum and may result in suspension of services.
- Refunds: Refunds are subject to our refund policy. Professional fees for services already rendered are non-refundable. Government fees once paid to authorities are non-refundable.
Confidentiality and Data Protection
We treat all client information as strictly confidential. We agree not to disclose, share, or sell your personal and business information to any third party except:
- When required by law, regulation, or court order (e.g., Income Tax Department, GST authorities, ROC).
- To our authorized employees, agents, or subcontractors who need the information to deliver services, subject to confidentiality obligations.
- With your explicit written consent.
We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security against cyber threats.
Intellectual Property
All content, design, logos, trademarks, and materials on the AccountsUp website are the intellectual property of AccountsUp or its licensors. You may not:
- Copy, reproduce, distribute, or display any part of our website content without prior written consent.
- Use our trademarks, logos, or branding for any purpose without authorization.
- Reverse engineer, decompile, or disassemble any software or technology used on our website.

Prohibited Conduct

- We are not responsible for any loss resulting from inaccurate or incomplete information provided by you.
Service Warranties and Disclaimers
Our services are provided on an "as is" and "as available" basis. While we strive for accuracy and professionalism:
- We do not guarantee specific outcomes for tax savings, regulatory approvals, or business results.
- Timelines for government processes (registrations, filings, approvals) are indicative and depend on authorities' processing times.
- Advice provided by our professionals is based on the information you provide and prevailing laws at the time; changes in law may affect prior advice.
- We do not warrant that our website will be uninterrupted, error-free, or free of viruses.
Termination
Either party may terminate the service engagement under the following conditions:
- By You: You may discontinue using our services at any time by providing written notice. Fees for services already rendered remain payable.
- By Us: We may terminate or suspend services if you breach these Terms, fail to make payments, or engage in fraudulent activities.
- Effect of Termination: Upon termination, we will deliver any completed work and documents. Outstanding fees become immediately due. We will return your original documents within a reasonable period.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be resolved as follows:
- Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation.
- Mediation: If negotiation fails, the dispute shall be referred to mediation under the Mediation and Conciliation Act, 2023.
- Arbitration: If mediation fails, the dispute shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Varanasi, Uttar Pradesh.
- Jurisdiction: Subject to the above, the courts of Varanasi, Uttar Pradesh shall have exclusive jurisdiction.
Third-Party Services
Our website may contain links to third-party websites or integrate with third-party services (e.g., payment gateways, government portals). We are not responsible for the content, privacy practices, or availability of these third-party services. Your interactions with third parties are governed by their respective terms and policies.
Communication and Notices
